Terms of Service
Effective date: October 11, 2026
These Terms of Service ("Terms") are a binding agreement between you and Vivander Advisors LLC ("Vivander", "we", "us") for MyTeam, the service at myteam.vivander.ai, and everything offered through it (the "Service").
Please read these Terms carefully. Section 18 requires most disputes to be resolved by individual arbitration, not in court, and waives class actions and jury trials. Sections 7, 8 and 14 through 16 limit our responsibility for security incidents, for services you connect, and for the information you choose to put into the Service.
1. Agreeing to these Terms
You accept these Terms when you check the boxes at sign-up and create a workspace, or when you otherwise use the Service. Checking those boxes is your electronic signature and has the same effect as a signature on paper. If you do not agree, do not create a workspace or use the Service.
If you use the Service for a business, you confirm that you have authority to accept these Terms for it, and "you" includes that business.
2. Who can use the Service
The Service is offered only to people who live in the United States and are 18 or older. It is not offered in the European Economic Area, the United Kingdom or Switzerland, or to anyone barred from receiving services under United States law. You confirm all of this when you sign up. If we learn that an account does not meet these requirements, we may close it; where the law allows, we will first give you a chance to export your data.
3. What the Service is, and what it is not
MyTeam gives you a coach that reads the record of your day, a team of AI agents that prepare drafts and research for your approval, and a workspace that holds your work.
- It is not professional advice. Nothing in the Service is medical, mental-health, legal, financial, tax, investment or other professional advice. Wellness features are not medical care, and the coach is not therapy. If you need professional help, talk to a qualified professional. If you are in crisis, call 988 or 911.
- AI can be wrong. Everything the AI produces is a draft that may be inaccurate, incomplete, out of date or inappropriate. Review it before you rely on it, act on it, or send it. You are solely responsible for what you send, publish and decide.
- Nothing is sent without your approval, and no agent can pay, transfer or charge money on your behalf.
4. Your account
You sign in with Google, with Apple, or with a sign-in link sent to your email address. Keep your account details accurate. You are responsible for keeping your sign-in methods secure, including the email account and the Google or Apple account you sign in with, and for all activity under your sign-in and by anyone you add to your workspace. Tell us right away at support@vivander.ai if you believe someone has accessed your account without permission. We are not responsible for losses caused by someone using your sign-in, your email account, or a device you left signed in.
5. Your workspace is private
- Your workspace content belongs to you. That means everything you enter, upload, record or connect, and what the Service produces from it for you ("Your Content").
- We do not look at Your Content in the normal course of running the Service. Our administration tools show account, plan and billing information, not the contents of your workspace. Each workspace is kept in its own separate database.
- We, or the companies that host the Service for us, may access Your Content only (a) when you ask us to, for example to help with a support request; (b) to investigate or prevent a security problem, fraud, abuse or a breach of these Terms; (c) to keep the Service running, such as restoring a backup; or (d) when the law or a valid legal order requires it. Where the law allows, we will tell you when we have done so.
- Your Content is processed by automated systems, including the AI providers listed in the Privacy Policy, so that the Service can work. We do not use Your Content to train AI models, and we never sell it.
You give us only the permission we need to run the Service for you: to host, store, copy, process, transmit and display Your Content, and to send it to the providers that answer your requests. That permission ends when Your Content is deleted, except for copies that remain in backups until those backups expire.
6. Download and deletion
- Download. You can download a complete copy of your workspace at any time from Settings, then Your data. You can also ask us by email and we will help.
- Deletion. You can permanently delete your workspace at any time from Settings, then Your data, or ask us to delete it by emailing support@vivander.ai from the address on your account. Deletion removes your workspace database right away. Copies in backups are deleted as those backups expire, normally within 30 days. We keep billing and tax records, and the record of what you agreed to, for as long as the law requires or allows.
- Deletion cannot be undone. Download anything you want to keep first. We are not responsible for information that is lost because you deleted it, asked us to delete it, or let your account close.
- Keep your own copies. The Service is not a backup or archive service. You are responsible for keeping your own copies of anything important.
7. Your information and the risks you accept
You choose what goes into the Service. Please be careful.
- Every online service carries risk. Despite reasonable precautions, information stored or sent over the internet can be intercepted, accessed without permission, altered, disclosed, corrupted or lost, including through hacking, malware, the failure of a supplier, or human error. By putting information into the Service, you accept these risks.
- Do not put highly sensitive information into the Service unless you are comfortable with that risk. This includes Social Security and other government ID numbers, bank and card numbers, passwords and security codes, health and medical records, information about children, precise location, and anything you are under a legal or professional duty to keep confidential. The Service is not designed or certified for regulated data (for example data covered by HIPAA, GLBA or PCI DSS), and you must not use it for that data.
- Information about other people. If you add information about other people, such as clients, colleagues, contacts, meeting attendees or call recordings, you are responsible for having the right to do so and for any notice or consent the law requires, including consent to record a call.
- What the AI receives. To answer a request, the relevant part of Your Content is sent to an AI provider. Do not include anything in a request that you are not willing to have processed this way.
8. Services you connect
You can connect other services to your workspace, such as Google or Apple mail and calendar, Google Drive, call recorders, a CRM, payment and invoicing tools, and AI agents you use elsewhere.
- Connecting is your choice and your responsibility. When you connect a service, you authorize us to read, and where you approve, to write to, that service on your behalf within the permissions you grant. Grant only the access you are comfortable with. You can disconnect at any time.
- Those services are not ours. They are operated by other companies under their own terms and privacy policies, which govern your use of them. We do not control them and are not responsible for their availability, security, accuracy, actions, data practices or any breach on their side.
- Outside agents you connect act under your keys and your authority. You are responsible for what they read, write, send or do, and for revoking a key you no longer trust. They work under the rules shown in the app: drafts only, and they send only what you approve.
- If a connected service changes or ends its access, a feature that depends on it may stop working, and that is not a breach of these Terms.
9. Plans, the trial and billing
Plans. Free ($0), Coach ($29 a month), Team ($59 a month) and Business ($99 a month), in US dollars. What each plan includes is shown on the pricing page and in the app, and may change as the Service changes.
Trial. A new workspace starts with 14 days of the Business plan. No card is needed, so the trial cannot turn into a charge. When it ends, you choose a paid plan or your workspace moves to Free. You keep your data either way.
Renewal and cancellation. Paid plans are billed through Stripe and renew automatically each month until you cancel. Your first charge covers the rest of the current month; after that you are billed on the 1st of each month, in advance, the same day your AI allowance resets. You can cancel at any time in Settings, as easily as you subscribed. Your plan stays active until the end of the month you paid for, then moves to Free. Fees are non-refundable, including for partial months and unused allowance, except where the law requires otherwise.
Price changes. We will email you at least 30 days before a price change affects your plan. You can cancel before it takes effect.
Failed payments. If a payment fails and is not resolved, your workspace moves to Free. Your data is kept.
Taxes. Prices do not include taxes that may apply where you live, which you are responsible for.
10. The AI allowance and top-ups
Each paid plan includes a dollar amount of AI use each month: $5 on Coach, $12 on Team and $25 on Business. The trial includes $5. Free includes no AI.
- The allowance resets on the first of each month and does not roll over.
- When it runs out, AI features pause until the reset. The basics keep working.
- You can buy a top-up for $12, which adds $10 of AI to that month's allowance. Top-ups are not refundable and do not roll over.
- If you turn on automatic top-ups, we charge $12 to the card on your subscription each time the allowance runs out, adding $10 of AI, up to the number of top-ups a month you choose. You can turn this off at any time in Settings.
- If you use your own AI provider key instead, that provider's terms and charges are between you and them, and no allowance applies.
11. Acceptable use
Use the Service lawfully and only as these Terms allow. Do not:
- harass, threaten, defame or harm anyone, or send spam or unsolicited bulk messages;
- infringe anyone's intellectual property, privacy or publicity rights, or record anyone without the consent the law requires;
- upload malware, or probe, scan, overload, attack or try to get around the security of the Service or another customer's separation;
- access the Service by automated means except through the connections and keys the Service provides;
- copy, resell, sublicense or provide access to the Service or its AI to others, or use it to build a competing product or train a model;
- create content that the AI providers forbid, or use the Service for any activity that is illegal, deceptive or high-risk (for example to make decisions about someone's credit, housing, employment, insurance or medical care).
We may suspend or remove access, or remove content, if we reasonably believe these rules have been broken.
12. Our property
The Service, including its software, design, methods, and everything we provide other than Your Content, belongs to us or our licensors and is protected by law. We give you a personal, non-exclusive, non-transferable, revocable right to use the Service under these Terms while your account is open. If you send us suggestions or feedback, we may use them without any obligation to you.
13. Changes and availability
MyTeam is new and changes often. We may add, change or remove features, and we may suspend the Service for maintenance, security or reasons beyond our control. We do not promise that the Service will be available at any particular time, uninterrupted, timely or error-free, or that data will never be lost. Features marked new, beta, preview or experimental may be incomplete and may be withdrawn.
14. Security and incidents
We use commercially reasonable administrative, technical and physical measures designed to protect Your Content, including a separate database for each workspace, encrypted connections, and sign-in sessions that expire and can be ended. No method of storing or sending information is completely secure, and we cannot and do not guarantee that Your Content will never be accessed, disclosed, altered or lost.
To the fullest extent the law allows, we are not liable for any loss, damage, cost or claim arising from unauthorized access to, or use, alteration, disclosure, interception or loss of, your account or Your Content, including from hacking, malware, ransomware, denial-of-service attacks, the acts of third parties, a breach at any hosting, payment, AI or connected-service provider, or your own failure to keep your sign-in methods or devices secure, except to the extent caused by our gross negligence or willful misconduct, or where the law does not allow us to limit liability.
If we learn of a security incident that affects your personal information, we will notify you as the law requires.
15. Disclaimers
THE SERVICE, ALL AI OUTPUT, AND EVERYTHING PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT THE LAW ALLOWS, VIVANDER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND THAT THE SERVICE WILL BE SECURE, ERROR-FREE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.
Some states do not allow certain warranties to be disclaimed, so some of these disclaimers may not apply to you.
16. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS:
- VIVANDER AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, OR THE COST OF RECOVERING DATA, NOTIFYING ANYONE, OR OBTAINING SUBSTITUTE SERVICES, arising out of or related to these Terms or the Service, however caused and under any theory of liability, even if we were told such damages were possible.
- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
These limits apply even if a remedy fails of its essential purpose, and they are an essential part of the bargain between us. Some states do not allow certain limitations, so some of these may not apply to you. Nothing in these Terms limits liability that cannot be limited under the law that applies to you.
17. Your responsibility to us (indemnity)
To the fullest extent the law allows, you will defend, indemnify and hold harmless Vivander and its owners, officers, employees and contractors from any claim, loss, damage, liability, fine, cost or expense (including reasonable attorneys' fees) arising from: (a) Your Content, including information about other people and any recording you make; (b) your use of the Service or of any service or agent you connect; (c) your breach of these Terms; or (d) your violation of any law or the rights of anyone else.
18. Disputes: informal resolution, arbitration and class action waiver
Please read this section carefully. It affects your rights.
- Talk to us first. Before starting any formal proceeding, the person raising a dispute must send the other a written description of it and the relief sought (to us at support@vivander.ai), and both must try in good faith to resolve it for 60 days.
- Binding individual arbitration. If the dispute is not resolved, you and Vivander agree that any dispute, claim or controversy arising out of or relating to these Terms or the Service, including whether it must be arbitrated, will be resolved by final and binding arbitration on an individual basis, administered by the American Arbitration Association under its Consumer Arbitration Rules, by a single arbitrator. The Federal Arbitration Act governs this section. The arbitration may be held by video or in the county where you live. Payment of filing and arbitrator fees is governed by the AAA rules.
- Exceptions. Either of us may bring an individual claim in small claims court if it qualifies, and either of us may ask a court for an injunction to stop infringement or misuse of intellectual property or unauthorized access to the Service.
- No class actions. No jury. You and Vivander each waive the right to a jury trial and to bring or take part in any class, collective, consolidated or representative action. The arbitrator may award relief only to the individual party and only to the extent needed for that party's individual claim. If this waiver is found unenforceable for a claim, that claim must be heard in court, not in arbitration, and the rest of this section still applies.
- Opting out. You may opt out of arbitration by emailing support@vivander.ai within 30 days after you first accept these Terms, with your name, the email on your account and a clear statement that you opt out. Opting out does not affect anything else in these Terms.
- Time limit. To the extent the law allows, any claim must be brought within one year after it arose, or it is permanently barred.
19. Governing law and venue
These Terms are governed by the laws of the State of New York, USA, and applicable federal law, without regard to conflict-of-law rules. Subject to Section 18, any claim that is not arbitrated will be heard only in the state or federal courts located in New York County or Westchester County, New York, and you and Vivander consent to their jurisdiction.
20. Suspension and ending the agreement
You can stop using the Service and delete your workspace at any time. We may suspend or close an account, with or without notice, for a breach of these Terms, for non-payment, to protect the Service, other customers or third parties, or where the law requires; and we may end the Service entirely with at least 30 days' notice. Where reasonable, we will warn you first and give you a chance to download your data. Sections 5 through 8 and 12 through 22 continue to apply after this agreement ends.
21. Changes to these Terms
We may update these Terms. If we change them materially, we will email the address on your account or show a notice in the Service before the change takes effect, and ask you to accept the new version the next time you sign in. If you do not agree, stop using the Service and delete your workspace.
22. General
- Electronic communications. You agree to receive notices, agreements and other communications from us electronically, by email or in the Service, and that they satisfy any requirement that they be in writing.
- Events beyond our control. We are not liable for any delay or failure caused by events beyond our reasonable control, including outages or failures of hosting, AI, payment or connected-service providers, internet failures, cyberattacks, natural disasters, labor disputes and acts of government.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition, reorganization or sale of assets.
- Severability. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent allowed and the rest stays in effect.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service and replace any earlier agreement on that subject.
- No waiver. Our not enforcing a provision is not a waiver of it.
- No third-party beneficiaries. These Terms do not give rights to anyone else.
- Export laws. You will not use or export the Service in violation of United States export control or sanctions laws.
